These Terms and Conditions of Sale (“Terms”) govern all sales of products and services (“Products”) by INNOKIE Technologies GmbH (“we,” “our,” or “us”) through http://www.innokie.com/ (the “Website”). By placing an order, you (“Customer”) agree to be bound by these Terms.

1. Orders

  • All orders are subject to acceptance by us in writing.
  • We reserve the right to reject any order without obligation to provide reasons.
  • No order shall be binding until confirmed by our official order acknowledgment.

2. Prices

  • All prices are quoted in USD unless otherwise agreed in writing.
  • Prices exclude VAT, customs duties, shipping, and handling charges, unless specifically stated.
  • We reserve the right to adjust prices due to changes in raw material costs, exchange rates, or other market conditions.

3. Payment Terms

  • Unless otherwise agreed, payment shall be made in advance or by bank transfer within 30 days from the date of invoice.
  • Late payments may incur interest charges at the statutory rate.
  • The Customer shall bear all bank charges, transfer fees, or currency conversion costs.

4. Delivery and Transfer of Risk

  • Delivery dates are approximate and non-binding unless expressly confirmed in writing.
  • Risk of loss or damage to the Products passes to the Customer upon delivery to the carrier.
  • Partial shipments may be made and invoiced separately.

5. Inspection and Acceptance

  • The Customer must inspect the Products upon receipt and notify us of any defects in writing within 7 days.
  • Failure to provide timely notice shall constitute acceptance of the Products.

6. Warranty

  • We warrant that our Products are free from material defects and conform to the agreed specifications for a period of 12 months from the delivery date.
  • Our warranty does not cover normal wear and tear, misuse, improper installation, or unauthorized modifications.
  • Our liability under this warranty is limited to repair, replacement, or refund of the defective Product, at our discretion.

7. Returns

  • Returns are only accepted with our prior written authorization.
  • Products must be returned in their original condition and packaging.
  • The Customer is responsible for return shipping costs unless the return is due to our error.

8. Limitation of Liability

  • To the maximum extent permitted by law, we shall not be liable for indirect, incidental, or consequential damages, including loss of profit, business interruption, or data loss.
  • Our total liability in any case shall not exceed the purchase price of the Products giving rise to the claim.

9. Force Majeure

We shall not be liable for any delay or failure to perform caused by circumstances beyond our reasonable control, including but not limited to natural disasters, strikes, supply shortages, or governmental actions.

10. Governing Law and Jurisdiction

  • These Terms are governed by the laws of Deutschland, excluding its conflict of laws provisions.
  • Any disputes shall be resolved exclusively by the competent courts in Berlin, Deutschland.

11. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
